Effective Date: 05/11/2025. Last Updated: 27/08/2026. These Terms and Conditions govern access to and use of the VidPlate platform and services, including the VidPlate Figma Plugin. By creating an account, purchasing a subscription or credits, installing or using the Figma Plugin, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
The Platform is operated by VidPlate Ltd, a company registered in England and Wales under company number 15750343, with registered office at International House, 14 King Street, Leeds, United Kingdom, LS1 2HL ("VidPlate", "we", "us", or "our"). These Terms are governed by the laws of England and Wales.
If there is any conflict between these Terms and a separate written agreement (for example, an enterprise Service Agreement, Statement of Work, or Master Services Agreement) signed by VidPlate and the user, the written agreement shall prevail.
Where a user has both Subscription Credits and Credit Top-Up balances available, VidPlate may determine the order in which credits are consumed.
Unless otherwise stated, subscription credits will be used before Credit Top-Up balances.
VidPlate reserves the right to remove, reclaim, adjust, suspend, or expire any VidPlate Credits or VidPlate AI Credits where VidPlate reasonably believes that:
VidPlate may suspend access to the Platform or specific features while investigating suspected abuse.
VidPlate uses artificial intelligence technologies to provide certain features and services available through the Platform, including the generation, analysis, processing, and transformation of images, videos, text, and other content.
To provide these services, VidPlate may utilise third-party AI models and providers, including but not limited to OpenAI, Google Gemini, Google Nano Banana, Google Veo, ByteDance and BytePlus services including ModelArk, Seedream, and Seedance models, Alibaba Cloud (Qwen), Runway, Stability AI, and other external AI services.
Users acknowledge and agree that content, prompts, instructions, images, videos, metadata, and other information submitted through the Platform may be processed by such third-party AI providers solely for the purpose of delivering the requested services and improving Platform functionality.
VidPlate Recipes let users chain multiple processing steps together. A given Recipe may use only non-AI steps, only AI steps, or a mix of both; this section 5A applies only to the steps within a Recipe that call a third-party AI provider.
AI features and content generation services depend on the availability, performance, and policies of third-party AI providers.
VidPlate does not control such third-party services and cannot guarantee their continuous availability, performance, accuracy, or functionality.
AI services may be interrupted, restricted, delayed, modified, suspended, or discontinued at any time due to circumstances beyond VidPlate's reasonable control.
VidPlate shall not be liable for any loss, delay, failure, inability to generate content, or other damages arising from the unavailability, outage, restriction, or discontinuation of any third-party AI service or model.
VidPlate may add, remove, replace, upgrade, downgrade, or modify any AI model, provider, feature, or generation method at any time.
VidPlate reserves the right to change VidPlate AI Credit consumption rates, AI features, AI providers, AI models, generation limits, and available functionality at any time.
Users acknowledge that specific AI models, providers, outputs, capabilities, quality levels, or generation speeds are not guaranteed and may change without notice.
Such changes shall not entitle users to refunds, credits, compensation, or cancellation rights.
AI-generated content is produced probabilistically and may not match a user's expectations, instructions, or intended outcome.
Credits used for successfully processed AI generation requests will not be refunded solely because a user is dissatisfied with the result.
Where a generation request fails due to a verified technical error within the Platform, VidPlate may, at its sole discretion, restore the affected credits or regenerate the content.
AI-generated content may contain factual inaccuracies, omissions, misleading information, or references to non-existent persons, products, services, events, or sources.
Users are solely responsible for independently reviewing and verifying all AI-generated content before publication, distribution, reliance, or commercial use.
VidPlate accepts no liability for losses arising from reliance on AI-generated outputs.
AI features are provided subject to fair and reasonable usage.
VidPlate reserves the right to implement rate limits, usage caps, queueing systems, moderation controls, or other restrictions where necessary to protect Platform performance, maintain service quality, comply with third-party provider requirements, or prevent excessive consumption of computing resources.
Users must not use automated scripts, bots, scraping tools, bulk-generation systems, or other methods intended to circumvent usage limits, credit requirements, or Platform restrictions without VidPlate's prior written consent.
Users must not use AI-powered features to generate, distribute, or facilitate:
VidPlate may remove content, refuse requests, suspend credits, or terminate accounts where it reasonably believes this clause has been breached.
VidPlate Studio and VidPlate Studio Pro are software tools and extensions provided by VidPlate for use with Adobe After Effects and related creative workflows.
VidPlate Studio may be made available as a standalone extension, while VidPlate Studio Pro may be provided as part of a VidPlate Platform subscription.
VidPlate Studio Render and the Desktop Render App allow authorised Windows workstations to register as render machines, receive eligible render jobs from VidPlate, process those jobs through Adobe After Effects, and return render status, output metadata, and completed files where supported.
Subject to compliance with these Terms and payment of any applicable fees, VidPlate grants users a limited, non-exclusive, non-transferable, revocable licence to install and use VidPlate Studio, VidPlate Studio Pro, VidPlate Studio Render, and the Desktop Render App solely for their internal business purposes.
Users may not sublicense, distribute, sell, rent, lease, modify, reverse engineer, decompile, disassemble, or create derivative works based upon the software except where prohibited by applicable law.
VidPlate Studio, VidPlate Studio Pro, and VidPlate Studio Render require compatible versions of Adobe After Effects and related Adobe software.
Users are solely responsible for obtaining and maintaining valid Adobe licences, compatible software versions, plugins, fonts, templates, scripts, and workstation configurations required for their render workflows.
VidPlate is not affiliated with, endorsed by, or sponsored by Adobe Inc.
VidPlate shall not be responsible for functionality issues arising from Adobe software updates, changes, restrictions, deprecations, licensing requirements, or compatibility issues.
VidPlate does not guarantee compatibility with all operating systems, devices, workstations, Adobe After Effects versions, plugins, extensions, scripts, fonts, templates, network environments, security tools, or third-party software.
Compatibility requirements may change over time as software platforms evolve.
VidPlate may release updates, patches, bug fixes, new features, or modifications to VidPlate Studio, VidPlate Studio Pro, VidPlate Studio Render, and the Desktop Render App at any time.
Certain updates may be mandatory for continued use.
VidPlate reserves the right to discontinue support for older versions of the software.
Certain features of VidPlate Studio, VidPlate Studio Pro, VidPlate Studio Render, or the Desktop Render App may require an active VidPlate subscription, paid add-on, internet connection, user authentication, organisation approval, machine approval, VidPlate AI Credits, VidPlate Credits, or access to Platform services.
Upon cancellation, suspension, or termination of an account, VidPlate may restrict or disable access to subscription-based functionality.
VidPlate reserves the right to impose usage limits, API limits, render queue limits, machine limits, authentication requirements, approval requirements, or security controls on VidPlate Studio, VidPlate Studio Pro, VidPlate Studio Render, and the Desktop Render App to protect the Platform and associated services.
VidPlate Studio, VidPlate Studio Pro, VidPlate Studio Render, and the Desktop Render App may access, process, transmit, cache, or store project data, render information, media assets, templates, prompts, usage information, diagnostics, logs, machine identifiers, workstation capability information, worker status, heartbeat timestamps, render queue metadata, render progress, render errors, output metadata, and configuration settings as required to provide functionality, process render jobs, troubleshoot issues, secure the service, and improve services.
VidPlate Studio Render may use local workstation resources, local storage, Adobe After Effects, installed dependencies, network connectivity, and configured render folders to process jobs. Users are responsible for maintaining backups of all project files, media assets, workstation configurations, local render data, and completed deliverables.
Users who register or approve a render machine represent that they are authorised to use that machine and its installed software for the relevant rendering work. Users are responsible for ensuring that each machine has lawful licences for Adobe After Effects, plugins, fonts, scripts, stock assets, templates, and other dependencies used during rendering.
Render availability, queue timing, job assignment, output quality, and processing speed may vary depending on machine availability, local configuration, network conditions, template complexity, third-party software, and system resources. VidPlate does not guarantee uninterrupted rendering, fixed processing times, or successful completion of every render job.
VidPlate may pause, revoke, reject, reassign, or disable render machines or render jobs where required for security, abuse prevention, technical integrity, entitlement enforcement, support, or service reliability.
VidPlate will use reasonable efforts to provide support and maintenance for VidPlate Studio, VidPlate Studio Pro, VidPlate Studio Render, and the Desktop Render App but does not guarantee response times, bug fixes, feature requests, compatibility updates, render recovery, or uninterrupted operation.
VidPlate Studio, VidPlate Studio Pro, VidPlate Studio Render, and the Desktop Render App are provided on an "as is" and "as available" basis.
VidPlate shall not be liable for any loss of work, rendering failures, failed or delayed jobs, project corruption, machine downtime, workstation performance issues, missed deadlines, software conflicts, data loss, business interruption, or other damages arising from the use of the software or render services.
The Template Builder is available only to eligible Studio Pro accounts with an active subscription and allows authorised users to create static, in-app-rendered Templates in the formats supported by the Platform. It does not create Adobe After Effects project files or provide editable source files.
Access is an account-level entitlement. The primary account holder is responsible for deciding which users may access the account and for all Builder Templates created, changed, published, used, or deleted by those users.
Builder Templates form part of the relevant Studio Pro organisation workspace and are not private to the individual user who created them. Account administrators and other users with applicable access may be able to view, edit, duplicate, publish, use, or delete Builder Templates and related assets. Where a Builder Template is assigned to a brand, its availability may also be limited by the Platform's brand and account-access controls.
Publishing a draft makes the Builder Template available in the organisation's Template library for eligible users and orders. Republishing updates the existing published Template where supported. Deleting a draft does not necessarily delete a previously published Template, generated library asset, completed Project, or export; those items must be managed separately where deletion controls are available.
Users may upload reference images, logos, fonts, photographs, prompts, and other materials, or select assets from their organisation's library, to create a Builder Template. Users represent and warrant that they have all rights, licences, consents, and permissions required for VidPlate and its Third-Party Services to host, analyse, reproduce, modify, and use those materials as instructed through the Template Builder.
Users must not upload confidential information, personal data, likenesses, trade marks, copyrighted works, or other protected material unless their intended use and any AI processing are lawful and properly authorised. Reference reconstruction may produce a similar layout, but does not transfer or clear any third-party rights in the reference material.
The Template Builder may use AI to analyse references, suggest or improve prompts, reconstruct layouts, refine elements, compare designs, and generate placeholder images. Section 5A applies to all such features.
An AI action that consumes VidPlate AI Credits will show the applicable charge or estimate before the user confirms it. Charges may vary as described in section 5A. Successfully generated placeholder images are saved to the organisation's asset library and may remain there if the related draft or layer is later replaced or deleted. Where a generation fails because of a verified Platform error, VidPlate will release or restore reserved credits in accordance with section 5A.4.
Users retain the rights they already hold in their User Content and in original design elements they create through the Template Builder. VidPlate retains all rights in the Platform, Template Builder, software, rendering technology, standard Templates, starter materials, interfaces, workflows, and any VidPlate assets incorporated into a Builder Template. A Builder Template may therefore contain rights owned by more than one party.
The user grants VidPlate and its service providers a worldwide, non-exclusive, royalty-free licence to host, copy, process, adapt, render, display, and distribute User Content and Builder Templates only as reasonably necessary to provide, secure, support, and maintain the Services, comply with law, and carry out the user's instructions. This licence lasts while the content is held in accordance with these Terms and the Privacy Policy.
Any VidPlate-owned material included in a Builder Template is licensed for use within the Platform during the applicable subscription only, unless VidPlate agrees otherwise in writing. Creating a Builder Template does not give the user ownership of the Template Builder, its underlying technology, or any VidPlate-owned or third-party material.
Users must review each Builder Template, its editable fields, brand assignment, previews, rights clearances, spelling, layout, and generated assets before publishing it or accepting orders against it. Publishing confirms that the user considers the Template ready for use.
Builder Templates are rendered automatically by the Platform into supported static output formats. Preview and final output may differ because of fonts, source-asset quality, cropping, colour handling, format dimensions, browser or rendering differences, and later Platform updates. VidPlate does not guarantee pixel-perfect reconstruction of a reference, uniqueness, error-free output, or suitability for a particular campaign, platform, or legal requirement.
Users remain responsible for reviewing completed Projects before publication or distribution and for correcting or withdrawing any Builder Template that produces unsuitable results. Nothing in this section excludes rights or remedies that cannot lawfully be excluded.
VidPlate may update the Template Builder, supported formats, rendering methods, limits, AI features, or technical requirements in accordance with these Terms. Temporary unavailability, queueing, or processing delays may occur, and users should keep independent copies of important source assets and completed outputs.
If a Studio Pro subscription ends or the account is suspended or terminated, access to the Template Builder and use of Builder Templates may end. Drafts, references, previews, generated assets, published Templates, and outputs may be retained or deleted in accordance with sections 6.7 to 6.10, the Privacy Policy, and applicable law.
The Figma Plugin is an optional import tool for eligible VidPlate accounts. An import begins only when the user selects supported Figma content, enters a valid short-lived import code, chooses the relevant options, and instructs the plugin to send it to VidPlate. The code authorises a single import session and must not be shared.
The plugin may support complete Templates and individual rigged components. Client imports are stored within the authorised organisation. Components submitted through a VidPlate administrative account may be placed into a review-only general library and do not become system-wide or publicly available until separately reviewed and approved by VidPlate.
When an import is started, the plugin may transmit the selected design structure, layer names, text, geometry, styles, effects, visibility, visible embedded images and vector artwork, a reference preview, and the user's import choices. VidPlate may validate, sanitise, de-duplicate, stage, optimise, convert, classify, group, flatten, approximate, or reject Imported Content as reasonably required to provide and secure the import service.
Temporary files may be uploaded directly to private cloud storage using short-lived upload authorisation. Successfully imported images, vectors, previews, drafts, and components may be stored in the authorised organisation's asset or template libraries. The Privacy Policy explains retention and deletion in more detail.
Users retain the rights they already hold in Imported Content and grant VidPlate and its service providers the limited operational licence in section 6C.5 to host, copy, process, adapt, render, and store it as needed to carry out the import and provide the Services.
The user represents and warrants that they are authorised by the relevant account and design owner and hold all rights, licences, consents, and permissions needed to submit and process every design, image, logo, trade mark, text item, likeness, and other asset included in the selection. Users must not import confidential, restricted, unlawful, or personal data unless its use is lawful and properly authorised.
Figma and VidPlate use different layout, font, vector, masking, effect, and rendering systems. Imports are an editable starting point and are not guaranteed to be pixel-perfect, complete, error-free, or compatible with every Figma node, plugin, component, variable, font, mask, blend mode, effect, or future Figma feature. Unsupported or unusually complex content may be omitted, flattened, approximated, resized, or rejected.
Users must retain an independent copy of the original Figma file and review the imported hierarchy, text, assets, colours, editable fields, effects, dimensions, and rendered output before publishing, ordering, distributing, or relying on it. VidPlate is not responsible for loss caused by failing to review an import or by limitations or changes originating in Figma, a browser, a font, a source asset, or another Third-Party Service, except where liability cannot lawfully be excluded.
Figma is a separate Third-Party Service. VidPlate is not affiliated with, endorsed by, or sponsored by Figma, and cannot guarantee the availability or continued compatibility of Figma, its plugin environment, APIs, file model, policies, or review process. Use of Figma remains subject to Figma's own terms and policies.
VidPlate retains all rights in its import service, server-side conversion and rigging technology, mappings, schemas, classification methods, automation systems, algorithms, rule engines, security controls, interfaces, workflows, and improvements. Access to the plugin, an import result, error message, or API response does not grant any right to obtain, reproduce, infer, disclose, benchmark for competitive replication, or create a substitute for that technology, except to the limited extent such a restriction is prohibited by applicable law.
The Platform may allow users to connect third-party services and accounts, including but not limited to Instagram, Facebook, Meta Ads Manager, YouTube, TikTok, LinkedIn, and other social media, advertising, marketing, analytics, or business platforms.
Users are solely responsible for maintaining valid access, permissions, and authority to connect and manage such accounts.
By connecting a third-party account, users authorise VidPlate to access, retrieve, process, store, publish, schedule, analyse, import, refresh, and otherwise interact with information and content available through the permissions granted by the user.
Users may revoke such permissions at any time through the relevant third-party platform or within the Platform where available.
VidPlate does not control any third-party platform, API, service, software, or integration.
VidPlate shall not be responsible for any interruption, limitation, suspension, modification, removal, deprecation, pricing change, API restriction, policy change, permission change, or discontinuation implemented by any third-party provider.
Features relying upon third-party integrations may become unavailable, restricted, or modified without notice.
VidPlate is not responsible for the suspension, restriction, disabling, banning, demonetisation, removal, or termination of any user account by Instagram, Facebook, Meta, YouTube, TikTok, LinkedIn, or any other third-party platform.
Users remain solely responsible for complying with the terms, policies, advertising requirements, community standards, and other rules imposed by such platforms.
Where permitted by connected third-party services, VidPlate may retrieve and process performance data, analytics, advertising metrics, audience information, campaign information, post information, video information, comments, replies, reactions, shares, views, watch time, impressions, clicks, reach, and engagement statistics to provide Platform functionality, reporting, benchmarking, automation, and service improvements.
VidPlate does not guarantee that content will be successfully published, approved, distributed, delivered, promoted, or displayed by any third-party platform.
VidPlate further makes no guarantee regarding reach, impressions, engagement, clicks, conversions, advertising performance, lead generation, sales, revenue, or other business outcomes resulting from use of the Platform.
The Platform may display data, analytics, metrics, reports, or performance information obtained from third-party platforms.
VidPlate does not warrant the accuracy, completeness, availability, timeliness, or reliability of such information and shall not be liable for errors, omissions, discrepancies, delays, or reporting differences originating from third-party services.
Where comment functionality is available for a connected platform, users authorise VidPlate to retrieve comments and replies and to publish replies on behalf of the connected account when the user submits, approves, or triggers that action through the Platform.
Users are solely responsible for all replies, moderation choices, and customer communications made through connected accounts.
Use of YouTube features is also subject to the YouTube Terms of Service at https://www.youtube.com/t/terms, the Google Privacy Policy at https://policies.google.com/privacy, and the Google API Services User Data Policy at https://developers.google.com/terms/api-services-user-data-policy. Users can view or revoke VidPlate's access to Google or YouTube account data through Google account permissions at https://myaccount.google.com/permissions or through VidPlate where disconnect functionality is available.
YouTube API Services may limit, suspend, reject, delay, remove, or modify access to publishing, analytics, comments, reporting, or account data. VidPlate is not responsible for YouTube API quota limits, reporting delays, unavailable metrics, channel eligibility restrictions, policy enforcement, or changes to YouTube API functionality.
Confidential information shared by either party must be protected and used only for fulfilling obligations under these Terms. Exceptions apply for public information, lawful disclosures, or information already independently known.
VidPlate is not liable for any failure or delay caused by events beyond its reasonable control, including but not limited to internet or hosting outages, AWS downtime, strikes, government action, or natural disasters.
VidPlate may amend these Terms at any time. Changes will be communicated via the Platform or email. Continued use of the Platform after changes take effect constitutes acceptance.
By using the Platform, users grant VidPlate the right to reference their company name and or logo in VidPlate client lists, case studies, and marketing materials, unless the user opts out in writing.
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction. Users waive the right to a trial by jury for any disputes arising out of these Terms.
